Acceptance of Terms

Welcome to www.ceqius.com (the "Site"), operated by Crown Equine Investment LLC ("CEQI LLC," "we," "us," or "our"). By accessing or using the Site, including the Investor Portal and any related services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms.

Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Description of Services

CEQI LLC operates a thoroughbred horse investment, breeding, and sales business. The Site provides information about our foals, stallions, bloodlines, investment opportunities, and related equine services. The Site also offers an Investor Portal for registered users to access account information, investment details, and related documentation.

Account Registration and Security

Certain features of the Site, including the Investor Portal, may require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your login credentials confidential and not share them with any third party

  • Accept responsibility for all activity that occurs under your account

  • Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate any account at our discretion, including for violation of these Terms.

Investment Disclaimers

No Investment Advice. The information presented on the Site, including details about foals, stallions, stud fees, bloodlines, and investment opportunities, is provided for general informational purposes only. Nothing on the Site constitutes investment advice, financial advice, legal advice, or a recommendation to buy, sell, or hold any interest in any horse or equine-related investment.

No Guarantee of Returns. Thoroughbred horse ownership and investment involve significant risk. Past performance, pedigree, stud fees, and bloodline information are not indicators of future results. The value of equine investments can fluctuate, and you may lose part or all of your investment. You should consult with qualified financial, legal, and equine industry advisors before making any investment decisions.

No Offer of Securities. Unless expressly stated in a separate written agreement, nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment product, or partnership interest. Any such offer or solicitation will be made only through formal offering documents that contain important information about risks, fees, and expenses.

Accuracy of Information. While we strive to keep the information on the Site accurate and up to date, we make no representations or warranties regarding the completeness, accuracy, reliability, or availability of any information presented, including but not limited to foaling dates, pedigree details, stud fees, and horse descriptions. Information is subject to change without notice.

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, photographs, videos, icons, page layouts, software, and data compilations, is the property of FLI INC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The CEQI LLC name, logo, and all related marks are trademarks of CEQI LLC. You may not use any of our trademarks without prior written permission.

You may not reproduce, distribute, modify, display, perform, publish, license, create derivative works from, transfer, or sell any content obtained from the Site without our express written consent.

Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes in accordance with these Terms. You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation

  • Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site

  • Use any automated means, including bots, scrapers, or spiders, to access, collect, or monitor content from the Site

  • Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available

  • Upload, transmit, or distribute any viruses, malware, or other harmful code

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Harvest, collect, or store personal information of other users without their consent

  • Use the Site to compete with CEQI LLC or for any commercial purpose without our prior written consent

  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Site

User Content

If you submit, post, or transmit any content through the Site, including through contact forms, the Investor Portal, or any communication channel ("User Content"), you grant CEQI LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display such User Content as necessary to operate and provide our services. You represent and warrant that you own or have the necessary rights to submit such content and that your User Content does not violate any third-party rights.

Third-Party Links and Services

The Site may contain links to third-party websites, services, or content that are not owned or controlled by CEQI LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. Accessing third-party links is at your own risk, and you should review the terms and policies of any third-party sites you visit.

Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

CEQI LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE, INCLUDING INFORMATION ABOUT HORSES, PEDIGREES, STUD FEES, OR INVESTMENT OPPORTUNITIES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CEQI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE

  • ANY CONTENT OBTAINED FROM THE SITE

  • ANY INVESTMENT DECISION MADE BASED ON INFORMATION PROVIDED ON THE SITE

  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE EXCEED THE AMOUNT YOU HAVE PAID TO CEQI LLC, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless CEQI LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, your violation of any applicable law, or your violation of any rights of a third party.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Lancaster County, Pennsylvania.

Termination

We reserve the right, at our sole discretion, to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

The failure of CEQI LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by CEQI LLC.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and CEQI LLC regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral.
